1. Legal Nature and Acceptance of the Contractual Instrument

1.1. These Terms constitute a binding legal and contractual instrument between the participant (hereinafter, "the Participant", "the User", or "you") and Sofiapp LLC. Participation in the Giveaway, whether active through the use of the Application or passive through the mere existence of an active and in-good-standing user account, implies the full, unconditional, irrevocable, and unreserved acceptance of each and every provision contained in these Terms, as well as any modification, amendment, addendum, or supplement that may be made in the future at the Organizer's sole discretion.

1.2. The Participant expressly acknowledges having read, understood, and accepted these Terms in their entirety before participating in the Giveaway, and declares under penalty of perjury that they have the necessary legal capacity to bind themselves contractually according to the laws applicable in their jurisdiction of residence.

2. General Description of the Promotion and Temporality

2.1. The Giveaway consists of the random assignment, through a computerized and automated selection process, of a cash prize in the amount of fifty US dollars ($50.00 USD) to an eligible participant selected from the universe of users who meet the eligibility requirements established in Section 3 of these Terms. The periodicity of the Promotion is weekly, with each selection taking place on Tuesdays at eight o'clock at night (8:00 PM) in the UTC-5 time zone (Eastern Standard Time – EST), without prejudice to the Organizer's ability to modify this schedule at its sole discretion through prior notice of at least forty-eight (48) hours through the official communication channels of the Application.

2.2. The Promotion is of a temporary and limited nature, established as a promotional launch initiative whose duration is subject to the absolute discretion of the Organizer. The Organizer reserves the unilateral and irrevocable right to modify, suspend, interrupt, or terminate the Promotion at any time, for any reason or no reason, with or without cause, through prior notice of at least thirty (30) calendar days through the official communication media of the Application, including but not limited to push notifications, email, posts on official social networks, and notices within the Application's interface.

3. Eligibility Requirements and Participation Conditions

3.1. To be considered eligible and participate in the Giveaway, the Participant must concurrently, simultaneously, and uninterruptedly comply with all the following requirements at the exact moment the random winner selection is made, without exception: (a) maintain an active, current, paid-up, and debt-free premium subscription of the Sofi AI Application at the precise moment the corresponding weekly giveaway is executed, understanding an "active premium subscription" as one for which payment for the applicable billing period has been successfully received and processed and which has not been canceled, suspended, refunded, or subject to a chargeback at the time of selection; (b) have correctly downloaded, installed, and configured the Application on a compatible device; (c) have created and maintain an active, verified, and in-good-standing user account, without restrictions, suspensions, or limitations of any kind; (d) have accepted the general Terms of Use of the Application and the current Privacy Policy; (e) not have been previously disqualified for violation of these Terms or any other applicable provision; and (f) not be involved in fraudulent, manipulative activities or activities contrary to the spirit of the Promotion according to the Organizer's unilateral determination.

3.2. It is a sine qua non condition for valid participation in the Giveaway that the Participant maintains their premium subscription in an active state uninterruptedly during the entire period prior to the giveaway. In the event that the Participant's premium subscription expires, is canceled, suspended, refunded, or enters a state of delinquency at any time prior to the execution of the corresponding weekly giveaway, said Participant shall be automatically and immediately disqualified from participating in said giveaway, without the right to any claim, compensation, or refund, losing all opportunity to be the winner in that particular cycle of the Giveaway, without prejudice to being able to recover their eligibility in future giveaways by renewing or reactivating their premium subscription according to the applicable subscription terms and conditions.

3.3. The Participant expressly acknowledges and accepts that participation in the Giveaway does not constitute any guarantee or promise of obtaining the prize, that the odds of being the winner depend on the total number of eligible participants in each particular giveaway, that these odds may vary significantly from one giveaway to another, and that the Organizer assumes no responsibility regarding the individual expectations of each Participant.

3.4. There is no limit on the number of times a Participant can be the winner of the Giveaway, as long as they maintain continuous compliance with all eligibility requirements established in these Terms. A Participant who has been a winner in previous giveaways maintains their eligibility for subsequent giveaways without any restriction, subject only to compliance with the applicable requirements.

4. Giveaway Mechanics and Selection Process

4.1. The winner selection process will be conducted through an automated computerized random number generation system, which will assign each eligible Participant a unique numerical identifier and proceed to randomly select one of said identifiers using an equiprobable distribution algorithm. The selection will be executed every Tuesday at eight o'clock at night (8:00 PM) UTC-5 time zone, and may be conducted through a live broadcast on the Instagram social media platform on the official account @sofiapp.ai, without the live broadcast constituting a mandatory requirement for the validity of the giveaway, with the decision to broadcast or not each particular giveaway left to the Organizer's discretion.

4.2. Once the random selection is executed, the Organizer will proceed to verify that the selected Participant meets all eligibility requirements established in Section 3 of these Terms. In the event that the selected Participant does not meet any of the eligibility requirements at the time of verification, they will be automatically disqualified and a new random selection will be conducted among the remaining eligible Participants, repeating this process as many times as necessary until a valid winner is identified.

4.3. The winner will be notified through multiple communication channels, including but not limited to: (a) push notification within the Application; (b) email sent to the address registered in the user account; (c) public announcement on the official Sofi AI social networks; and (d) any other means the Organizer deems appropriate. The Participant is responsible for keeping their contact information updated and for enabling Application notifications to timely receive communications from the Organizer. The Organizer assumes no responsibility for the failure to receive notifications due to incorrect configurations, invalid email addresses, spam filters, or any other circumstance attributable to the Participant.

5. Prize Description and Delivery Modalities

5.1. The prize consists exclusively of a cash sum in the amount of fifty US dollars ($50.00 USD), without any obligation on the part of the Organizer to provide additional, complementary, or substitute prizes of any nature. The prize will be delivered in full to the winner without deductions, withholdings, or additional charges by the Organizer, it being understood that any tax, fee, contribution, or levy applicable according to the tax laws of the winner's jurisdiction will be the exclusive responsibility of the winner, who must comply with all tax obligations corresponding to their jurisdiction of tax residence.

5.2. The delivery modality of the prize will be determined by the geographical location and available banking options of the winner, according to the following hierarchical structure of preference: (a) For winners who possess and maintain active bank accounts in financial institutions duly authorized and regulated in the United States of America, the member states of the European Union, the Republic of Ecuador, or the Republic of Colombia, the prize will be transferred directly through electronic bank transfer (ACH, SEPA, local transfer, or the equivalent method as applicable) to the bank account designated by the winner, requiring the winner to provide complete and accurate banking information necessary to process the transfer, including but not limited to the full name of the account holder, account number, bank routing code or equivalent, and any other information the Organizer or the intermediary financial institution may reasonably require; (b) For winners who do not meet the criteria established in point (a) above, or who at their free choice prefer to receive the prize through alternative methods, the Organizer will proceed to transfer the prize through internationally recognized digital payment platforms, specifically PayPal, Wise (formerly TransferWise), or any other digital money transfer service that the Organizer determines appropriate and available in the winner's jurisdiction, with the use of each particular method subject to the availability of the service in the winner's country of residence and the policies and restrictions imposed by each payment platform.

5.3. The winner must provide the Organizer, within a maximum period of fourteen (14) calendar days counted from the date of the prize notification, all information necessary and required to process the prize transfer according to the applicable delivery modality as established in paragraph 5.2 above. Failure to comply with this obligation within the established period, or the provision of incomplete, incorrect, or fraudulent information, shall entitle the Organizer to declare the prize forfeit (loss) without any responsibility, proceeding to select a new winner through the process established in Section 4 of these Terms.

5.4. The Organizer agrees to execute the prize transfer within a reasonable period no longer than thirty (30) business banking days counted from the date the winner has completely and satisfactorily provided all required information according to paragraph 5.3 above, it being understood that said period may be extended due to force majeure, fortuitous events, or circumstances beyond the Organizer's reasonable control, including but not limited to processing delays by intermediary financial institutions, government restrictions, international sanctions, technical problems with payment platforms, or any other similar circumstance.

6. Grounds for Disqualification and Prohibited Activities

6.1. Immediate, automatic, and irrevocable disqualification from the Giveaway, with total loss of the right to claim the prize in case of being selected, as well as the possibility of permanent suspension or termination of the user account in the Application at the Organizer's sole discretion, shall be constituted by the following conducts and circumstances, in an illustrative but not limitative manner: (a) performing, participating in, facilitating, or attempting to perform any fraudulent, deceptive, manipulative, or dishonest activity related to the Giveaway, including but not limited to creating multiple accounts, using false information or third-party information without authorization, manipulating voting or participation systems if any, or any other conduct that the Organizer reasonably determines as contrary to the spirit of fair competition of the Promotion; (b) failure to comply with any of the eligibility requirements established in Section 3 of these Terms at the time of the giveaway execution, regardless of whether the Participant complied with said requirements at previous times; (c) violation of any provision contained in these Terms, the general Terms of Use of the Application, the Privacy Policy, or any other policy, guideline, or regulatory document applicable published by the Organizer; (d) performing activities that constitute or may constitute violations of laws, regulations, ordinances, or government provisions applicable in any relevant jurisdiction; (e) abusive, threatening, defamatory, or offensive conduct toward the Organizer, its employees, representatives, other participants, or any third party related to the Promotion; and (f) any other conduct that, in the Organizer's exclusive and discretionary judgment, is considered inappropriate, harmful to the image of the Promotion, or contrary to the legitimate interests of the Organizer.

6.2. The Organizer expressly reserves the right to investigate any suspicion of violation of these Terms or fraudulent activity, and may request additional information, supporting documentation, or evidence from the Participant in question. The Participant agrees to cooperate fully with any investigation conducted by the Organizer and acknowledges that the refusal to cooperate, the supply of false or incomplete information, or any obstruction of the investigation process will constitute sufficient grounds for immediate disqualification.

6.3. Specifically, and without limiting the generality of what is established in paragraph 6.1 above, any Participant whose premium subscription is not active, current, and paid-up at the precise moment the random winner selection is executed shall be automatically disqualified from participating in the corresponding Giveaway, regardless of whether the Participant had maintained an active subscription during previous periods. This provision is of a strict nature and literal interpretation, and no exceptions for extenuating circumstances, payment processing problems attributable to the Participant, or any other cause resulting in the inactive state of the subscription at the time of the giveaway will be admitted.

7. Complementary Evaluation Incentive Program

7.1. As a complement and without constituting an integral part of the main Giveaway subject to these Terms, the Organizer reserves the discretionary power to implement, at any time and without prior notice, additional incentive programs directed at users who provide positive reviews of the Application in official app stores (Apple App Store and Google Play Store). These complementary programs, when implemented at the Organizer's discretion, may consist of additional cash prize giveaways for amounts that will typically range between ten US dollars ($10.00 USD) and twenty US dollars ($20.00 USD), exclusively intended for participants who: (a) have given a five-star rating (5/5) to the Application in the corresponding app store; (b) have provided satisfactory documentary evidence of said evaluation by presenting a screenshot clearly showing the rating given, the username associated with the review, and any other information the Organizer may reasonably require to verify the authenticity of the evaluation; and (c) meet any other specific requirements the Organizer might establish for each particular evaluation incentive program.

7.2. The complementary evaluation incentive programs described in paragraph 7.1 above are independent and completely separate from the main Giveaway regulated by these Terms. Participation, non-participation, winning, or losing in any complementary incentive program does not affect in any way the eligibility, participation, or results of the Participant in the main Giveaway. The Organizer reserves the absolute and discretionary right to modify, suspend, or terminate any complementary incentive program at any time, without prior notice and without obligation to provide justification or compensation of any kind.

7.3. Reviews provided by Participants in app stores must be genuine, honest, and reflect the user's real experience with the Application. Any attempt to provide false, deceptive, duplicated reviews through multiple accounts, or reviews acquired through third-party services, will result in the participant's immediate disqualification from all incentive programs, the invalidation of any prize pending delivery, and potentially the suspension or termination of the user account in the Application.

8. Limitations of Liability and Waivers

8.1. The Organizer, its directors, officers, employees, agents, representatives, affiliates, subsidiaries, parent companies, successors, and assigns (collectively, "the Released Parties") are expressly exempt and released from all liability, obligation, claim, demand, cause of action, damage, loss, cost, or expense of any nature (including but not limited to reasonable attorneys' fees) that may arise, directly or indirectly, in relation to: (a) any error, omission, interruption, defect, or delay in the operation or transmission of the Promotion; (b) communications failures, telephone lines, hardware, software, or technical problems of any nature; (c) unauthorized access to or alteration of participation data; (d) theft, destruction, or unauthorized access to, or alteration of, entries or personal information; (e) typographical or printing errors in any material related to the Promotion; (f) any technical, mechanical, human, or other problem that may occur in the administration of the Promotion, the processing of entries, or the selection of winners; (g) personal injury, death, or property damage of any Participant or third parties; and (h) any other cause related to participation in the Promotion or the acceptance, use, or misuse of any prize.

8.2. Without limiting the generality of what is established in paragraph 8.1 above, the Organizer assumes no responsibility for: (a) lost, late, incomplete, illegible, inaccurate, distorted, mutilated, or incomprehensible entries for any reason; (b) errors, omissions, interruptions, deletions, defects, delays in operation or transmission, failures in communication lines, theft or destruction or unauthorized access to the Application or entries; (c) problems or technical malfunctions of any telephone network or lines, computer online systems, servers, access providers, computer equipment, software, failures of email or players due to technical problems or traffic congestion on the Internet or on any website; (d) any combination of the above; or (e) any other error or malfunction that may occur in the administration of the Promotion or the processing of entries.

8.3. In no event shall the Released Parties be liable for indirect, incidental, consequential, special, punitive, or exemplary damages of any nature, including but not limited to loss of profits, revenue, data, use, business opportunities, or future giveaway participation opportunities, even if advised of the possibility of such damages. The total aggregate liability of the Released Parties toward any Participant shall in no case exceed the amount of the prize corresponding to an individual giveaway, that is, fifty US dollars ($50.00 USD).

9. Publicity Rights and Use of Information

9.1. By participating in the Giveaway, each Participant grants the Organizer, in an irrevocable, perpetual, worldwide, royalty-free, and fully sublicensable manner, the right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and publicly display their name, image, voice, likeness, statements, biographical information, city and state of residence, and any other information of a personal or identifiable nature (collectively, "Participant Information") in any medium or format, whether currently known or developed in the future, for any purpose the Organizer deems appropriate, including but not limited to advertising, promotional, marketing, commercial, or public relations purposes, without the need for additional notice, subsequent consent, or compensation of any kind to the Participant.

9.2. Without limiting the generality of what is established in paragraph 9.1 above, the Organizer is specifically empowered to publicly announce the name, city of residence, and any other relevant information of the winners through any communication medium, including but not limited to the Application, websites, social networks, press releases, advertising materials, and any other channel the Organizer deems appropriate. The Participant expressly waives any right of privacy, publicity, or other rights of a similar nature to the extent permitted by applicable law, and releases the Released Parties from any claim related to the use of the Participant Information according to these Terms.

9.3. The Participant represents and warrants that: (a) they possess all rights necessary to grant the licenses established in this Section 9; (b) the use of the Participant Information by the Organizer according to these Terms will not violate, infringe, or misappropriately use the rights of any third party; (c) all Participant Information is true, accurate, current, and complete; and (d) they will hold the Released Parties harmless regarding any third-party claim related to the use of the Participant Information.

10. Modifications, Suspension, and Termination of the Promotion

10.1. The Organizer reserves the absolute, exclusive, and irrevocable right to modify, amend, supplement, temporarily suspend, interrupt, or permanently terminate the Promotion, in whole or in part, at any time and for any reason or no reason, without the need to provide justification, cause, or explanation, through prior notice of at least thirty (30) calendar days through official communication channels, including but not limited to notifications within the Application, emails to registered users, posts on official social networks, and notices on the Application's website. Said prior notice may be reduced or completely eliminated in exceptional circumstances that, in the Organizer's sole judgment, so warrant, including but not limited to cases of generalized fraud, serious technical problems, changes in applicable regulations, government or court orders, or any other circumstance of force majeure or fortuitous event.

10.2. The Organizer also reserves the right to modify these Terms at any time by publishing an updated version in the Application and on the official website. The modifications will take effect immediately upon publication, unless a later effective date is specified. It is the Participant's exclusive responsibility to periodically review these Terms to stay informed of any modification. Continued participation in the Giveaway after the publication of modifications will constitute the Participant's unconditional acceptance of said modifications.

10.3. In case of early termination of the Promotion for any cause, the Organizer shall have no obligation to conduct additional giveaways beyond the last giveaway executed before the termination date, nor to provide compensation, refund, or alternative prize of any nature to Participants. Participants expressly acknowledge and accept that the Promotion is of a temporary and free nature (without prejudice to the requirement to maintain a premium subscription to be eligible), and that they have no acquired right to the indefinite continuation of the Promotion.

11. Applicable Law and Dispute Resolution

11.1. These Terms shall be governed, interpreted, and executed in accordance with the substantive laws of the State of Delaware, United States of America, without giving effect to any principle of conflict of laws that could result in the application of the laws of another jurisdiction. Any dispute, controversy, or claim arising from or relating to these Terms, the Promotion, or participation in the Giveaway (collectively, "Disputes") shall be resolved exclusively through binding arbitration according to the Commercial Arbitration Rules of the American Arbitration Association (AAA) then in effect.

11.2. The arbitration shall be conducted before a single arbitrator appointed according to AAA rules, in Kent County, State of Delaware, United States of America, in the English language. The arbitration award shall be final and binding on the parties, not subject to appeal, and may be executed in any court of competent jurisdiction. The Participant expressly waives any right to initiate or participate in any class action, collective action, or representative proceeding against the Organizer related to these Terms or the Promotion.

11.3. Notwithstanding what is established in the preceding paragraphs, the Organizer shall have the right to seek cautionary or provisional measures before any court of competent jurisdiction to protect its intellectual property rights, prevent violations of these Terms, or protect the integrity of the Promotion, without this constituting a waiver of the arbitration agreement established herein regarding the final resolution of the merits of any Dispute.

12. General Provisions

12.1. If any provision of these Terms is declared invalid, illegal, or unenforceable by a court or arbitration tribunal of competent jurisdiction, said provision shall be interpreted, limited, or eliminated to the minimum extent necessary so that the remaining Terms continue in full force and effect. The invalidity or ineffectiveness of any provision shall not affect the validity or effectiveness of the other provisions of these Terms.

12.2. Failure or delay by the Organizer in exercising any right, power, or privilege established in these Terms shall not constitute a waiver of said right, power, or privilege, nor shall it prevent its subsequent or simultaneous exercise of that or other rights, powers, or privileges. The Organizer's rights and remedies established in these Terms are cumulative and do not exclude any other right or remedy available in law or equity.

12.3. These Terms, together with the Application's Terms of Use, the Privacy Policy, and any other document expressly incorporated by reference, constitute the complete and exclusive agreement between the Participant and the Organizer regarding the Promotion, and replace and nullify all previous or contemporary agreements, negotiations, understandings, representations, and warranties, whether written or oral, between the Participant and the Organizer related to the subject matter of these Terms.

12.4. The Organizer may assign, transfer, delegate, or sub-license any of its rights or obligations under these Terms without the Participant's prior consent. The Participant may not assign, transfer, or delegate their rights or obligations under these Terms without the Organizer's prior written consent, and any attempt to do so shall be null and void.

12.5. Section headings and titles used in these Terms are for convenience and ease of reference only and have no legal effect nor influence the interpretation of any provision. The use of the terms "including", "includes", or "such as" shall be interpreted as "including without limitation" or "such as without limitation", respectively.

13. Contact Information and Official Communications

13.1. For any question, query, clarification, request for additional information, report of technical problems, or communication of any nature related to the Giveaway, these Terms, or the Promotion in general, Participants must address the Organizer exclusively through the following official email address: app@sofi.cash. The Organizer agrees to respond to communications received within a reasonable period, generally no longer than five (5) business days, although this period may be extended during periods of high query volume or special circumstances.

13.2. All official communications from the Organizer toward Participants will be made through the channels established in these Terms, including notifications within the Application, emails sent to addresses registered in user accounts, and posts on verified official Sofi AI social networks. Participants acknowledge and accept that it is their responsibility to keep their contact details updated and regularly check these official communication channels to receive important information about the Promotion.

14. Final Declarations and Acceptance

By participating in the Giveaway, the Participant declares under penalty of perjury that: (a) they have read, understood, and fully accepted these Terms and Conditions in their entirety, including all sections, paragraphs, provisions, and stipulations contained in this document; (b) they have the minimum legal age required in their jurisdiction of residence to participate in promotions of this nature and to enter into binding contracts; (c) all information provided to the Organizer is true, accurate, current, and complete; (d) they meet all eligibility requirements established in Section 3 of these Terms; (e) they agree to be bound by the Organizer's decisions, which will be final and binding in all aspects related to the Promotion; (f) they release and hold harmless the Released Parties as established in Section 8 of these Terms; (g) they grant the publicity and information use rights established in Section 9 of these Terms; and (h) they agree to resolve any Dispute through binding arbitration as established in Section 11 of these Terms.

The Participant expressly acknowledges that participation in the Giveaway is completely voluntary and that the Organizer has made no promise, guarantee, or representation beyond those expressly established in these Terms. By participating in the Giveaway, the Participant unconditionally and irrevocably accepts these Terms in their entirety and agrees to comply with all their provisions.
